Welcome to Strider Digital, an online digital solutions agency owned and operated by STRIDER DIGITAL SOLUTIONS LTD, a company registered under the laws of England and Wales (Company Number 16211086) with registered address at 20 Wenlock Road, London, England, N1 7GU ("Company," “Strider Digital,” "we," "us," "our"). These terms govern your access and use of the services offered by Strider Digital via www.striderdigital.io (the “Website”) as well as any other related services that refer or link to these terms (collectively, the "Services").

1. OUR SERVICES
Strider Digital offers services including SEO, Google Ads setup & management, Webflow design, Webflow template customisation, Zapier automation and AI SEO. Our SEO services include (but not limited to) audits, keyword research, backlink building and performance reports, but we do not guarantee specific rankings or provide content creation unless agreed. Our PPC services focus on Google Ads, including campaign setup, keyword research, and optimisation. We also offer ongoing SEO and PPC services for other online platforms. Additional services include Webflow webmaster support (health checks, security updates).

2. INTELLECTUAL PROPERTY RIGHTS
Strider Digital retains all intellectual property rights in software, designs, data, and methodologies developed in service delivery. Clients are granted a limited, non-exclusive license to use the deliverables but may not modify, reproduce, or distribute them without written consent. Third-party software and integrations may have separate licensing terms, which remain the client’s responsibility.

3. CLIENT REPRESENTATIONS
By using Strider Digital’s services, you confirm that:

• You have the legal authority to enter into these Terms.
• You agree to these Terms.
• By agreeing to these Terms you professionally indemnify Strider Digital Solutions LTD for all services undertaken for your business.
• Your provided business details and campaign objectives are accurate and will be updated as needed.
• Your website and materials comply with applicable laws, including data protection and intellectual property regulations.
• For SEO and PPC, you acknowledge that results depend on multiple factors beyond our control and that outcomes, including rankings and conversions, cannot be guaranteed.
• If using Webflow design or webmaster services, you confirm you have the necessary rights to all provided content and third-party integrations.

4. FEES AND PAYMENT TERMS
Fees are outlined in a separate proposal, contract, or invoice. Payments are due within 7 days unless otherwise agreed. Payments should be made via BACS or international bank transfer, with bank fees covered by the client. Late payments that occur twice or more may result in service suspension and incur a fixed late fee of £250. Pricing may be modified with 30 days' notice.

5. SERVICE DISCLAIMERS
Strider Digital does not guarantee specific SEO or PPC results due to external factors such as search engine algorithm changes, competition, and platform policies. PPC performance may fluctuate due to bidding strategies, market conditions, and Google Ads policies. We are not responsible for third-party platform issues, hosting provider failures, or external integration malfunctions. Clients acknowledge that digital marketing outcomes vary and specific financial results are not assured.

6. TERMS AND TERMINATION
These Terms remain in effect while services are in use. We may suspend or terminate services for non-payment, violations of these Terms, unethical conduct, or actions affecting service security, upon which all outstanding fees become payable. Clients may terminate services at any time with 60 days written notice, but all outstanding fees remain due. Upon termination, service access ceases, unpaid invoices must be settled and outstanding fees settled.

7. LIMITATION OF LIABILITY AND INDEMNIFICATION
Strider Digital provides services "as-is" without warranties, or guarantees of error-free operation or uninterrupted service. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data. Our total liability is limited to the amount paid on the previous months invoice or GBP £500, whichever is lower. Clients must indemnify Strider Digital against claims arising from contract breaches, unlawful service use, or third-party disputes.

8. CHANGES TO THESE TERMS
We may update these Terms at any time. Continued use after changes constitutes acceptance. If you disagree with updates, you may discontinue use of the services.

9. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of England and Wales. Disputes will be resolved under the exclusive jurisdiction of English courts.

10. MISCELLANEOUS
These Terms constitute the entire agreement between Strider Digital and the client. Failure to enforce any provision does not waive our rights. If any part of these Terms is deemed unenforceable, the remainder remains valid. No partnership, employment, or agency relationship is created. These Terms will not be construed against us by virtue of having drafted them.

12. SCHEDULE OF COSTS

Hourly Rate - Based on time spent, agreed in advance.

Fixed-Rate Projects - Predetermined fee for a defined scope; additional work  charged separately.

Retainer-Based Services - Payable monthly in advance.

Rush Fees - £250 (ex. VAT) for urgent work requiring prioritisation.

Project Rescheduling - £250 (ex. VAT) if client-caused delays require rescheduling.

PPC Budget Adjustments/Activation - £250 (ex. VAT) for budget changes or reactivation.

Account Access Issues - £250 (ex. VAT) for access reinstatement or  reconfiguration.

Hourly Fees (Revisions/Support Outside Hours) - £100 per hour (ex. VAT) for additional revisions or  support outside standard hours.

Retainer Reactivation Fee - £250 (ex. VAT) if any invoice is late twice.
